Firm lawyers are nationally recognized experts on the unique issues that arise in the reorganization or liquidation of healthcare-related entities. We have extensive experience in representing various constituencies in this highly regulated and increasingly active area, including healthcare providers, trustees, and governmental and private creditors in some of the nation's largest bankruptcy cases. Because of this expertise, we are frequently asked to write and lecture for legal, bankruptcy, and healthcare-related organizations, including the American Health Lawyers Association, the American Bankruptcy Institute, and the Turnaround Management Association. A firm attorney chaired the American Bankruptcy Institute's Health Care Committee.

The firm also has experience in healthcare transactional and real estate work. For example, we represented a real estate investment trust (REIT) in providing construction financing for a hospital and medical office complex, and in the subsequent purchase and lease back.

We also have substantial experience with the corporate, securities, and transactional issues facing healthcare providers. For example, members of the firm have:

  • assisted the national operator of healthcare facilities in connection with its $40 million initial public offering, as well as its $80 million secondary debt offering;
  • represented both issuers and underwriters in the offering and sale of tens of millions of dollars in hospital revenue bonds;
  • handled the acquisition of hospitals, clinics and other facilities on behalf of purchasers;
  • prepared private placement materials for physician groups seeking to raise capital to acquire medical equipment;
  • advised a public healthcare company regarding its disengagement from a management contract for its California facilities; and
  • represented health care clients seeking secured financing from banks and other lending institutions.

Represented two California governmental units in this chapter 9 bankruptcy case.

Curative Health

Served as counsel to the indenture trustee in this "prepack" chapter 11 case in the Southern District of New York.

First American Health Care of Georgia (formerly ABC Home Health)

Represented the federal government's $375 million claim in this Georgia chapter 11 case of the nation's largest privately held home healthcare provider.

FPA Medical Management

Represented several health plans in this Delaware bankruptcy of a national physician practice management corporation.

Functional Restoration Medical Center

Represented the creditors' committee in this liquidating chapter 11 of the second largest private provider of MRI services in Southern California with sixteen MRI Centers and three health clinics in the Los Angeles area.

Genesis Health Systems

Served as co-counsel to the creditors' committee in the Delaware bankruptcy of one of the nation's largest skilled nursing facility operators.

Glenbeigh Hospital

Represented the federal government in the restructuring of a large hospital in Miami, Florida.

Health Line Clinical Labs

Served as counsel to a $20 million specialty laboratory in the Los Angeles area to restructure out of court their bank and governmental debts to allow a successful sale of the assets.

Health Plan of the Redwoods

Represented the debtor, a not-for-profit health plan, in its liquidating chapter 11 case in Northern California.

Hefferman Memorial Hospital District

Represented bondholders and formulated a consensual plan of adjustment in this chapter 9 municipal bankruptcy case.

Integrated Health Services

Represented a healthcare REIT in this Delaware bankruptcy of a major nursing home chain.

Intrepid Home Health

Served as special counsel to the debtor in this chapter 11 case of a $100 million national home health agency in Minneapolis, Minnesota, to successfully resolve the key issue in the case - a $40 million claim filed by the US Center for Medicare and Medicaid Services for Medicare fraud.

Jacksonville Medical Center

Represented the federal government in executory contract litigation in this Florida bankruptcy.

Ladera Heights Community Hospital

Represented the debtor in its chapter 11 case.

Mariner Post-Acute Network

Served as co-counsel to the creditors' committee in this Delaware bankruptcy of one of the nation's largest skilled nursing facility operators.

Maxicare (aka Family Health Services)

In Maxicare's first bankruptcy case, the firm represented target defendant in non-contractor provider litigation to enjoin direct billing, as well as various creditors and one of Maxicare's insurers in this chapter 11 of a national health maintenance organization. In Maxicare's second bankruptcy case, the f irm represented the buyer of some of its assets.

Represented Nu-Tech Bio-Med in its acquisition through chapter 11 of this clinical laboratory service.

MedPartners Provider Network

Represented several health plans in this Los Angeles bankruptcy of physician practice management corporation.

Newcare Health Services

Represented a healthcare REIT in multimillion dollar-litigation in an adversary proceeding in the bankruptcy of a regional nursing home operator in Massachusetts.

Palm Drive Health Care District

Represent the creditors' committee in this chapter 9 case of a healthcare district operating a hospital in Sebastapol, California.

Pleasant Care Corporation

Represent the creditors' committee in this chapter 11 case (and several related cases) of California's second largest chain of skilled nursing facilities.

San Fernando (Mission) Community Hospital

Represented this non-profit corporation in a successful reorganization of its two hospitals in Los Angeles County.

Santa Paula Memorial Hospital

Represented Ventura County in its purchase of the hospital from this chapter 11 case.

Represented the creditors' committee in the chapter 11 of a manufacturer and supplier of biological materials and services in its San Diego bankruptcy case.

St. Johns Home Health Agency

Represented the federal government in litigation with this chapter 11 debtor over its efforts to assume its Medicare provider contract, resulting in the published decision.

Sun Healthcare Group

Represented a healthcare REIT in this Delaware bankruptcy of a major nursing-home chain.

Represented the trustee of two operating hospitals in confirming a successful chapter 11 plan.
