Representation of the creditors’ committee of PosiGen and its debtor affiliates, a national residential solar-installation company serving 40,000+ low-income solar customers across 15 states, including Louisiana, Connecticut, New Jersey, and Massachusetts. The cases, filed in November 2025 in the Southern District of Texas, included allegations of double-pledging of assets, commingling of funds, diverting project revenues, WARN Act violations, and multiple motions to appoint a chapter 11 trustee. The committee, advised by the firm, worked through myriad complex issues to determine the appropriate path forward and ultimately entered into a settlement with the debtors and key parties, pursuant to which, among other actions, the debtors will sell substantially all of their assets to the DIP lenders; the debtors’ business will be transitioned to third parties; procedures will be implemented to reach settlements with the debtors’ channel partners who market, sell, and install the debtors’ solar systems; and the cases will be resolved through a confirmed chapter 11 plan negotiated among the debtors, the committee, certain lenders, and other parties.
