Representation of GoHealth and its debtor affiliates in their chapter 11 cases in the District of Delaware. Founded in 2001, the company is a leading health insurance marketplace and Medicare-focused digital health company leveraging its proprietary technology and expert guidance to consumers. With the firm’s assistance, the debtors successfully obtained approval of their prepackaged plan of reorganization pursuant to which a change-in-control transaction will be implemented, leaving general unsecured creditors and preferred equity holders unimpaired and providing a cash recovery to common equity holders. The firm also led an extensive investigation by the debtors’ independent directors of certain insiders for potential claims and actions including in relation to prepetition corporate transactions and loans. Assisted by the firm, the debtors succeeded in effectuating a highly consensual transition in ownership that will preserve GoHealth’s enterprise value.
