Attorneys of the firm have experience in the acquisition and sale of businesses outside of bankruptcy in a variety of industries, including hospitals, clinics, and other healthcare providers; retailers; manufacturers; and distributors. They have represented both domestic and foreign clients, primarily in U.S.-based transactions.
The firm represented this publicly traded Denver-based company, which provides voice, data, and internet communications services, in connection with its acquisition by a consortium of equity funds.
International Outsourcing Services
In 2008, the firm assisted Marlin Equity Partners, a private equity firm, in its acquisition of the coupon redemption business of International Outsourcing Services, LLC. The transaction, which involved operations in the United States and Mexico, was valued at approximately $60 million. The firm has continued to represent the purchaser ProLogic Redemption Solutions, Inc.
Furitechnics Group Pty Ltd.
The firm has represented Ultra Pro, the leading manufacturer and marketer of storage products for sports and gaming collectibles, photographs, and multi-media products based in Commerce, California. In 2008, we represented Ultra Pro in connection with its purchase of the assets of Furitechnics Group Pty Ltd., a leading housewares product development company whose products, including the Rachael Ray branded line of cutlery, are marketed through independent and mass market retailers across Australia, USA, Canada, UK, New Zealand, and Europe.
Pat & Oscars
The firm represented Worldwide Restaurant Concepts, a NYSE company, in connection with its acquisition of a closely held chain of casual dining restaurants in Southern California.
The firm represented a well-known Southern California real estate investment firm in connection with its acquisition of the Vagabond hotel chain, comprised of over thirty hotels in several western states.
The firm was general corporate counsel to DSL Transportation and its subsidiaries, which provided international freight and logistics services to some of the nation's largest retailers. DSL sold substantially all its assets to Maersk Sealand in a transaction valued in excess of $80 million.
Chinese Consumer Products Manufacturer
The firm represented a Chinese consumer products manufacturing company in the acquisition of the assets of one of its primary U.S. competitors, which liquidated through a general assignment for the benefit of creditors under California law.
