Preliminary attempts at negotiating a consensual workout have failed, the company has not discharged its income tax liability for several years, and it has failed to pay employees. While the business continues to remain fundamentally sound, formal restructuring is required. Panel members will address specific aspects of the restructuring particular to their jurisdictions and discuss how the cross-border nature of the company's business impacts its ability to effectively reorganize.

During this nationwide educational teleconference for PEO members, Jason S. Pomerantz, author of the revised NAPEO Legal Review on PEOs and client bankruptcy, will explain the issues PEOs face when a client files bankruptcy and suggests some preventive measures and postpetition steps that may be taken.

The subprime lending industry is currently in turmoil. Several subprime lenders - including ResMae Mortgage, Ownit Mortgage Solutions, and Mortgage Lenders Network - have filed for bankruptcy in recent months. There is speculation that other cases will be filed this year. Many subprime lenders are located here in California, and some of these companies are filing their bankruptcy cases right here in Southern California. James Stang will be a panelist in a discussion of how the subprime industry got here, what is currently going on both in out-of-court restructurings and in court, what restructuring professionals can do to assist creditors or potential debtors, and some of the legal and operational issues that may arise in dealing with distressed subprime lenders.

The discussion will cover operational issues, confirmation issues, and recent developments. Mr. Feinstein's fellow panelists will include Hon. Leif Clark and Hon. Bruce Markell. Mr. Feinstein is also an Adjunct Professor of Law at St. John's University School of Law.

Bruce Grohsgal will participate in a panel discussion at the Spring Conference of the Turnaround Management Association (TMA) on the liability of directors, officers, professionals, and lenders in the zone of insolvency, including recent decisions limiting such liability.

As part of the Bankruptcy Abuse Prevention and Consumer Act of 2005, sellers of goods are now the beneficiaries of a host of new provisions designed to provide new protections in a bankruptcy case. Rob Orgel will be a copanelist at this LA County Bar Association program, which will address how trade creditors can take advantage of several of these new Code sections as they relate to critical vendor motions, reclamation rights, 503(b)(9) rights, as well as other key creditor rights.
